Found a webpage that solved my problem, just thought I would post it in case anyone else runs into the same thing.

http://www.cybersprocket.com/2011/sdks/starburn-sdk-and-net-4-0/

I regsvr32 both dlls (x86 and x64) and referenced the COM instead of the dll and it worked!

P.s. generally speaking the described method it is the standard approach for getting the COM dll working well with .Net projects! :)
